By accessing the website https://newcodes.app or subscribing to any software applications hosted by New Codes Intelligence (including StudiOS, Triage, Ledger, Canvas, Narrative, and Spreads), you agree to be bound by these Terms and Conditions.

If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

New Codes Intelligence provides cloud-based software-as-a-service (SaaS) and managed artificial intelligence solutions for creative studios and commercial enterprises.

Service features, quotas, storage capacities, and support tiers are governed by the specific subscription plan selected by the user.

We strive to maintain 99.9% service availability, excluding scheduled maintenance or outages resulting from upstream telecom or infrastructure providers.

You are responsible for maintaining the confidentiality of your account credentials, API tokens, and access keys.

Anti-Spam & Messaging Compliance: When deploying conversational tools (such as Triage), you agree to strictly comply with the Meta WhatsApp Business Messaging Policy, relevant commercial communication rules, and local consumer protection laws.

Prohibited Conduct: You shall not use our services to send unsolicited spam, transmit malicious code, harass individuals, or store unlawful, defamatory, or infringing materials.

Fees for software subscriptions and one-time setup packages are billed in advance via authorized payment processors (Razorpay).

Recurring subscriptions automatically renew at the end of each billing period (monthly or annual) unless cancelled prior to the renewal date.

All prices are quoted exclusive of applicable taxes unless stated otherwise.

Customer Content: You retain full, exclusive ownership of all text, media, customer inquiries, photos, videos, and branding assets uploaded to our platforms.

Platform Technology: All software code, algorithms, visual interfaces, database architectures, documentation, and trademarks associated with New Codes Intelligence remain the exclusive intellectual property of New Codes Intelligence.

To the maximum extent permitted by law, New Codes Intelligence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total aggregate liability arising out of or related to these Terms or the services shall not exceed the total fees paid by you to New Codes Intelligence during the twelve (12) months immediately preceding the event giving rise to liability.

You may terminate your account at any time by cancelling your subscription through your billing portal.

We reserve the right to suspend or terminate service immediately upon notice if you violate these Terms or fail to cure a material breach within fifteen (15) days of notification.

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of India.

Any legal dispute, suit, or proceeding arising out of these Terms shall be subject to the exclusive jurisdiction of the competent courts in Pune, Maharashtra, India.
